Terms Of Service

These Terms of Service (“Terms”) govern access to and use of the Sound Alive Radio websites, apps, streams, station tools, directories, and related services (collectively, the “Network”), including soundaliveradio.com, soundaliveradio.net, related station URLs, and any mobile or desktop app we provide.

The Network is operated by Sound Alive Radio, LLC and affiliated Sound Alive Radio entities (“Sound Alive,” “we,” “us,” or “our”), based in Roswell, Georgia, USA.

By accessing or using the Network, creating an account, launching a station, submitting content, purchasing a subscription, or otherwise using the Service, you agree to these Terms. If you do not agree, do not use the Network.

This document is a working draft for publication and legal review. It is not a substitute for advice from your own counsel.

1. Who these Terms cover

The Network has three kinds of users:

  1. Listeners — people who stream stations, use the app, or browse the directory.

  2. Station operators — people or entities that create, host, schedule, or go live on a station listed on the Network.

  3. Submitters and advertisers — artists, labels, sponsors, and others who send music, ads, or promotional material.

If you use the Network in more than one role, all applicable sections apply to you.

If you use the Network on behalf of a company, you represent that you have authority to bind that company.

2. What Sound Alive Radio is

Sound Alive Radio is a radio network and station platform. Streams and station apps may run as clustered applications on Evernode DePIN and other independent hosts rather than a single AWS, Azure, or Radio.co account.

Important limits of that model:

  • Decentralized hosting does not remove copyright law, communications law, defamation law, or other applicable law.

  • Independent hosts, domain registrars, payment processors, app stores, and wallet providers remain subject to their own rules and to law.

  • “Uncensored at the network layer” means Sound Alive does not operate a corporate trust-and-safety desk that pre-approves shows on the hosting layer. It does not mean illegal content is allowed, and it does not mean we cannot suspend Network listing, billing, apps, or support.

Sound Alive may operate its own stations and also list independent stations. Independent stations are run by their operators, not by Sound Alive, except where we expressly say otherwise.

3. Eligibility

You must be at least 13 years old to use the Network as a listener.

You must be at least 18 (or the age of majority where you live) to:

  • create or operate a station

  • buy or sell advertising

  • purchase a paid subscription

  • connect a wallet or receive payouts

  • enter a contract with Sound Alive

If you are between 13 and 17, you may listen only with a parent or guardian’s consent, and they are responsible for your use.

You may not use the Network if you are barred from doing so under U.S. law or the laws of your jurisdiction.

4. Accounts, wallets, and security

Some features require an account, email, or compatible wallet (including XRPL / Xahau-compatible wallets).

You are responsible for:

  • the accuracy of information you provide

  • keeping login credentials and wallet keys secure

  • all activity under your account or wallet

We never ask for seed phrases or private keys. We are not responsible for lost keys, failed transactions, network fees, or third-party wallet bugs.

Notify us promptly at info@soundaliveradio.net if you believe your account was compromised.

5. The Service

Subject to these Terms, we grant you a limited, revocable, non-exclusive, non-transferable license to use the Network for lawful personal or authorized commercial use.

Features may include:

  • live and automated streaming

  • station URLs and listing on the Network directory

  • a free listener app for iOS, Android, desktop, and browsers

  • scheduling, uploads, and live broadcasting tools

  • advertising, sponsorships, and subscriptions

  • optional crypto payments or rewards where offered

We do not guarantee any particular bitrate, uptime, listener count, ranking, or revenue. “192kbps,” “uninterrupted,” and “24/7” describe intended operation, not a warranty.

We may change, suspend, or discontinue features at any time.

6. Independent stations

If you launch a station on the Network:

6.1 You operate the station

You are the publisher of your station. You choose the programming, schedule, live shows, ads, and subscribers. Sound Alive provides Network listing, software, and infrastructure coordination. We are not the co-publisher of your show unless we separately agree in writing.

6.2 Your URL and branding

You may receive a station URL and app access. You do not acquire ownership of Sound Alive trademarks, the Network software, or the Evernode protocol. Custom domains, if offered, remain subject to registrar and DNS rules.

6.3 Revenue

Unless a separate written agreement says otherwise:

  • advertising and subscription revenue you sell directly to your audience stays yours

  • Sound Alive does not take a percentage of that revenue

  • you remain responsible for taxes, invoicing, refunds, chargebacks, and payment-processor fees

  • Network hosting, listing, or add-on fees, if any, are separate and disclosed at purchase

“100% of advertising and subscription revenue” means we do not take a platform cut of those sales. It does not mean we pay your processing fees, tax obligations, or licensing costs.

6.4 Your obligations

You must:

  • have all rights needed to broadcast the content you use

  • obtain music, spoken-word, sports, and podcast licenses required in the territories you reach

  • honor take-down and other legal notices you receive

  • not use the Network to commit fraud, impersonation, or theft

  • not interfere with other stations, hosts, or listeners

  • keep contact information current so we can reach you about legal notices

6.5 Clustering and hosts

Your station may run across independent Evernode hosts. Hosts can go offline. Clustering is intended to reduce single-host failure; it is not a guarantee of continuous uptime. You should keep backups of your library, schedules, and branding assets.

7. Content rules

7.1 Your content

“Content” means audio, artwork, metadata, chat, ads, show notes, links, and any other material you upload, stream, or display.

You retain ownership of your Content. You grant Sound Alive a worldwide, non-exclusive, royalty-free license to host, transcode, stream, cache, list, promote, and technically transmit that Content as needed to operate the Network.

You represent that you own or control the rights to your Content and that its use on the Network will not infringe copyright, trademark, publicity, privacy, or other rights.

7.2 Prohibited content and conduct

You may not use the Network to:

  • distribute child sexual abuse material or exploit minors

  • incite imminent violent crime or terrorism

  • commit fraud, phishing, or other financial crime

  • traffic in illegal drugs or other illegal goods

  • infringe copyright, neighboring rights, or trademarks

  • stream stolen credentials, malware, or attacks on systems

  • dox private individuals or publish non-public personal data without a lawful basis

  • impersonate Sound Alive, another station, or another person

  • circumvent technical limits, scrape in a way that harms the Service, or attack hosts

Speech that is lawful but offensive, political, religious, or commercially unpopular is not, by itself, a violation of these Terms. Illegal content is.

7.3 Removal and delisting

We may refuse listing, remove a station from the Network directory, disable app distribution we control, suspend billing, or terminate an account when:

  • we receive a valid legal order or notice

  • content appears to violate these Terms or applicable law

  • a station harms the Network’s operation or other users

  • fees are unpaid

Because hosting may be clustered on independent machines, delisting from Sound Alive is not the same as globally erasing every copy of a stream. We will act on the parts of the Network we control.

8. Listeners, subscriptions, and ads

Free listening may include advertising.

Paid tiers, if offered (for example Free, Premium, or Pro), are described at checkout. Benefits may include fewer ads, badges, exclusive channels, or other perks. Features can change.

Subscriptions may be billed in fiat or supported digital assets (including RLUSD or other assets we specify). Crypto payments are final once confirmed on-chain, except where law requires otherwise.

Refunds, if any, follow the policy shown at purchase or required by law. Chargebacks may result in suspension.

You are responsible for data charges from your carrier.

9. Music submissions and promotions

Sending music to submissions@soundaliveradio.net or through a form does not guarantee airplay, a campaign, or a deal.

If you buy a promotional package, the specific deliverables are those stated in that order or invoice. Marketing language such as “spins” or “campaigns” is not a promise of chart position, playlist placement on third-party services, or revenue.

Do not send content you do not have the right to promote.

10. Copyright and DMCA

Sound Alive respects copyright. If you believe content on a part of the Network we control infringes your copyright, send a notice that includes:

  1. your physical or electronic signature

  2. identification of the copyrighted work

  3. the URL or other location of the allegedly infringing material

  4. your contact information

  5. a statement that you have a good-faith belief the use is not authorized

  6. a statement, under penalty of perjury, that the notice is accurate and that you are the owner or authorized to act

We may forward notices to the responsible station operator. Repeat infringers may lose Network access.

If your material was removed in error, you may send a counter-notice as permitted by the DMCA.

Station operators must also honor copyright notices that apply to their own streams.

11. Third-party services and DePIN

The Network may depend on:

  • Evernode hosts and the Xahau / XRPL ecosystem

  • domain and DNS providers

  • payment processors and wallet software

  • device makers and browsers

  • advertising or analytics tools

Those parties are not under our exclusive control. Their outages, fees, forks, or policy changes can affect the Service. We are not liable for third-party networks, tokens, or host operators except to the extent the law does not allow that disclaimer.

12. Privacy

Our collection and use of personal data is described in the Sound Alive Radio Privacy Policy. If we have not published a separate policy yet, we will use personal data only as needed to operate accounts, streams, support, billing, and legal compliance.

Do not submit other people’s sensitive personal data unless you have a lawful basis.

13. Disclaimers

THE NETWORK IS PROVIDED “AS IS” AND “AS AVAILABLE.”

TO THE MAXIMUM EXTENT PERMITTED BY LAW, WE DISCLAIM ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT.

We do not warrant that:

  • streams will be uninterrupted or error-free

  • a host, cluster, or app store listing will remain available

  • content is accurate, licensed, or suitable for any purpose

  • tokens, rewards, or subscriptions will have any particular value

Listen at your own risk while driving or in any situation that requires attention.

14. Limitation of liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, SOUND ALIVE AND ITS OFFICERS, EMPLOYEES, AND AFFILIATES WILL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR FOR LOST PROFITS, LOST DATA, LOST LISTENERS, OR LOST REVENUE, EVEN IF ADVISED OF THE POSSIBILITY.

OUR TOTAL LIABILITY FOR ANY CLAIM ARISING OUT OF THE NETWORK WILL NOT EXCEED THE GREATER OF: (A) THE AMOUNTS YOU PAID US FOR THE SERVICE IN THE THREE MONTHS BEFORE THE CLAIM, OR (B) ONE HUNDRED U.S. DOLLARS (US $100).

Some places do not allow certain limits. In those places, the limit applies to the fullest extent allowed.

15. Indemnity

You will defend and indemnify Sound Alive against claims, damages, and reasonable legal fees arising from:

  • your Content

  • your station

  • your advertising or subscriptions

  • your breach of these Terms

  • your violation of law or third-party rights

16. Termination

You may stop using the Network at any time.

We may suspend or terminate access, listing, or accounts if you breach these Terms, if required by law, or if we discontinue the Service.

On termination, licenses you granted us for technical hosting may persist in caches and backups for a reasonable period. Your ownership of your underlying Content does not transfer to us.

17. Changes

We may update these Terms. The “Last updated” date will change. Continued use after the update means you accept the revised Terms, except where law requires additional consent.

For material changes affecting paid station operators, we will try to give reasonable notice to the email on file.

18. Governing law and disputes

These Terms are governed by the laws of the State of Georgia, USA, without regard to conflict-of-law rules.

Except where prohibited, exclusive venue for disputes is the state or federal courts located in Georgia, and you consent to personal jurisdiction there.

If you are a consumer in a jurisdiction that requires local courts or mandatory consumer protections, those rights remain.

Informal resolution first: email info@soundaliveradio.net and allow 30 days to try to resolve the issue before filing a claim, unless a temporary restraining order or similar emergency relief is needed.

19. Miscellaneous

  • These Terms are the entire agreement between you and us about the Network, unless a signed station, advertising, or enterprise agreement says otherwise. A signed agreement controls if it conflicts.

  • If a provision is unenforceable, the rest remains in effect.

  • We may assign these Terms in connection with a merger, sale, or reorganization. You may not assign them without our consent.

  • Failure to enforce a provision is not a waiver.

  • Headings are for convenience only.

  • “Including” means “including without limitation.”
